These Terms and Conditions ("Terms") govern your access to and use of DSMate ("the Service"), operated by DSMate ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
DSMate is a software-as-a-service platform that helps Australian eBay sellers automate the management of dropshipping listings, including syncing product data from supported suppliers and managing orders. The Service requires you to hold your own accounts with supported third-party platforms (currently eBay Australia, Dropshipzone, and AliExpress). DSMate does not act as a seller, supplier, manufacturer, importer, or marketplace, does not take title to or possession of any product at any time, and is not a party to the sale contract between you and your customer or between you and any supplier.
DSMate is not affiliated with, and does not recommend, endorse, or vouch for, eBay, Dropshipzone, AliExpress, or any other third-party platform or supplier referenced, linked, or integrated with the Service. Your decision to use, rely on, or transact through any such third-party platform is made entirely at your own discretion and risk.
DSMate does not operate a product feed, marketplace, or catalogue of supplier products, and does not browse, curate, recommend, rank, or display any Dropshipzone, AliExpress, or other supplier products to you within the Service. All product discovery and selection happens entirely outside DSMate, on the supplier's own website. You independently find and choose the specific product you want to sell directly on the supplier's site, and you then provide DSMate with that product's URL, product ID, or SKU so the Service can import and help you list it on your eBay store. DSMate has no involvement in, visibility into, or control over your product selection process, and imports only the specific product you identify.
The Service is currently built and configured to push and manage listings on the eBay Australia (eBay AU) marketplace only. Regardless of the country, currency, or address associated with your eBay account, all listings created or managed through DSMate are submitted using eBay AU marketplace settings. DSMate does not currently support, and gives no warranty in respect of, any other eBay country site or marketplace (including eBay US, eBay UK, or any other regional eBay marketplace). If you operate, connect, or attempt to operate a non-Australian eBay account or store through the Service, you do so at your own risk, the Service may behave unexpectedly or incorrectly, and DSMate accepts no liability for any resulting errors, mispriced or non-compliant listings, suspensions, or losses.
We may add support for additional marketplaces, countries, or platforms in the future at our sole discretion. Any such expansion will not be read into these Terms unless and until we publish updated documentation confirming that support.
You must be at least 18 years old and have the legal capacity to enter into a binding contract under Australian law to use DSMate. By registering, you represent that you meet these requirements. The Service is intended for use by business operators and is not a consumer product.
You are responsible for maintaining the security of your DSMate account credentials. You must notify us immediately if you suspect unauthorised access to your account. We are not liable for any loss resulting from unauthorised access caused by your failure to keep your credentials secure.
You may not share your account or allow third parties to access the Service using your credentials.
To use certain features, you must provide credentials for third-party accounts (e.g. your Dropshipzone or AliExpress account, or your eBay seller account). By providing these credentials, you authorise DSMate to use them solely to deliver the Service on your behalf. We encrypt credentials at rest and in transit. You remain solely responsible for the accuracy and validity of credentials you provide, and for ensuring your use of DSMate complies with the terms of service of any third-party platform.
DSMate relies on data supplied by third parties (including product titles, descriptions, images, pricing, stock levels, and shipping or delivery estimates from Dropshipzone, AliExpress, or any other connected supplier). We do not independently verify this data and do not warrant its accuracy, completeness, or currency. You are solely responsible for reviewing and confirming supplier data before it is used in any listing, and for the accuracy of the final listing on your eBay store.
Third-party platforms may change, restrict, suspend, or discontinue their APIs, services, or your access to them at any time and without notice to us. DSMate is not responsible for any interruption, error, data loss, delay, or other issue arising from the unavailability, modification, or discontinuation of any third-party platform, API, or supplier service, including eBay, Dropshipzone, or AliExpress.
Where you source products through AliExpress or any other supplier shipping from outside Australia, you acknowledge that shipping times, customs clearance, import duties, taxes, and border restrictions are outside DSMate's control and may vary, change, or cause delay without notice. You are solely responsible for: (a) any customer-facing shipping time, delivery, or origin disclosures required by eBay policy or Australian Consumer Law; (b) any import duties, taxes, or customs charges arising from your sourcing decisions; and (c) confirming that products you list are lawful to import into and sell in Australia. DSMate provides no warranty regarding delivery times, customs clearance, or the condition of goods shipped by any supplier.
You alone choose which products to list and which suppliers to source from. That choice is made by you, off-platform, on the supplier's own website, before you ever interact with DSMate — the Service only imports the specific product URL, product ID, or SKU that you supply, and plays no part in finding, suggesting, filtering, or approving that product. Accordingly, you are solely responsible for verifying that any product you choose to import and list, and its listing content (images, descriptions, and branding, whether sourced from the supplier or added by you), does not infringe any third party's trademark, copyright, design, or other intellectual property rights, and is not counterfeit, unsafe, prohibited, or restricted. DSMate does not screen, vet, curate, or take responsibility for products or listing content you choose to import from Dropshipzone, AliExpress, or any other connected supplier.
You agree to indemnify DSMate against any claim, demand, or loss arising from a product you selected, imported, listed, or sold through the Service, including claims relating to product safety, product liability, counterfeit or infringing goods, mislabelling, or regulatory non-compliance.
You agree to use DSMate only for lawful purposes and in accordance with these Terms. You must not:
We reserve the right to suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated this clause.
DSMate offers a free plan and paid subscription plans billed monthly in Australian dollars (AUD). All prices are inclusive of GST where applicable. Paid plans are billed in advance at the start of each billing cycle.
You may cancel or change your subscription at any time through your account settings or by emailing us. Plan upgrades take effect immediately. Plan downgrades and cancellations take effect at the start of your next billing cycle, giving you a grace period to adjust your account before the change applies. No refunds or credits are issued for the unused portion of a current billing period on downgrade or cancellation. On cancellation, your account reverts to the free plan; your data is not deleted and remains as-is on your account.
Each plan has associated usage limits (for example, the number of SKUs you may actively manage). You are responsible for keeping your usage within the limits of your current plan, including after a downgrade or cancellation takes effect. If your usage exceeds your plan's limits, DSMate will notify you within the app and pause daily sync for the affected account until your usage is brought back within your plan's limits, at which point sync resumes automatically. While sync is paused, your affected eBay listings will not receive price, stock, or other automated updates and may become stale or inaccurate the longer the account remains over its limit. Keeping your usage within your plan's limits is your responsibility, and DSMate is not liable for any consequences of listings not being synced while your account is over its plan limit, including lost sales, stale pricing or stock information, or marketplace action taken against your store as a result.
We reserve the right to change plan pricing with at least 30 days' prior notice to your registered email address.
The auto-sync feature runs on a scheduled basis (typically nightly) and updates your eBay listings based on data from connected suppliers. While we take care to ensure accuracy, we do not guarantee that all updates will be applied without delay or error. You remain responsible for reviewing your listings and the accuracy of prices, stock levels, and product information on your eBay store. DSMate is a tool to assist you — it does not replace your responsibility as the seller.
Where DSMate shows you an estimated profit figure (for example, after factoring in product cost, shipping, and marketplace fees), this figure is an estimate only, intended to give you a helpful starting point — not a guaranteed or final number. Your actual profit may differ once you account for factors DSMate cannot always see or calculate precisely, including import duties and charges, GST and other taxes, and currency or exchange-rate movements. Marketplace fees in particular can vary from seller to seller: eBay fee structures depend on your specific account, subscription tier, and entitlements (for example, some sellers may qualify for reduced or fee-free selling under certain eBay plans, while others are charged under a different fee schedule), and DSMate's estimate may not always reflect your individual fee arrangement. Any profit, margin, fee, shipping, or delivery-time estimate shown by DSMate is provided for informational purposes only, does not constitute financial, tax, customs, or legal advice, and should always be independently verified before you rely on it for a business decision.
All software, design, trademarks, and content comprising the DSMate platform are owned by or licensed to DSMate and protected under Australian and international law. You may not reproduce, copy, or distribute any part of the Service without our prior written consent.
You retain ownership of any data you input into the Service (e.g. your listing information). By using the Service, you grant us a limited licence to process that data solely to provide the Service to you.
If you send us feedback, suggestions, or ideas about the Service, you grant us a royalty-free, worldwide, perpetual licence to use them for any purpose, without any obligation to you.
To the maximum extent permitted by Australian law, the Service is provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, and we do not warrant the availability, accuracy, or performance of any third-party platform, API, or supplier that the Service integrates with.
To the maximum extent permitted by law, DSMate's total liability to you for any claim arising from or related to the Service is limited to the total amount you paid us in the 3 months preceding the event giving rise to the claim, or AUD $100, whichever is greater.
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such damages. This includes losses arising from supplier product quality, counterfeit or infringing goods, customs or import issues, marketplace suspensions, or third-party API outages or changes.
Nothing in these Terms limits our liability for fraud, death or personal injury caused by our negligence, or any liability that cannot be excluded under the Australian Consumer Law.
If you are a consumer under the Australian Consumer Law (ACL), you may have rights that cannot be excluded by these Terms. Nothing in these Terms is intended to exclude, restrict, or modify any rights you have under the ACL. Where the ACL applies, our liability is limited (to the extent permitted) to re-supplying the relevant service.
You agree to indemnify, defend, and hold harmless DSMate and its directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, your violation of any third party's rights (including intellectual property rights in listed products), or your violation of any third party's rights more generally.
We may modify, suspend, or discontinue any aspect of the Service at any time. We may also update these Terms from time to time. When we make material changes, we will notify you by email or via an in-app notice. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
We may suspend or terminate your access to the Service at our discretion if you breach these Terms. You may terminate your account at any time. Upon termination, your right to use the Service ceases immediately. Clauses that by their nature should survive termination (including intellectual property, indemnity, disclaimer, limitation of liability, and governing law) will do so.
These Terms are governed by the laws of Australia. Before starting formal proceedings, you agree to first contact us and allow a reasonable opportunity to resolve the issue informally.
If any provision of these Terms is found invalid or unenforceable by a court of competent jurisdiction, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and DSMate regarding the Service and supersede any prior agreements on this subject. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and DSMate. You may not assign or transfer these Terms without our prior written consent; we may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets. We may provide notices to you by email or by posting within the Service, and you consent to receiving communications from us electronically.
