These Terms and Conditions ("Terms") govern your access to and use of DSMate ("the Service"), operated by DSMate ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
DSMate is a software-as-a-service platform that helps Australian eBay sellers automate the management of dropshipping listings, including syncing product data from supported suppliers and managing orders. The Service requires you to hold your own accounts with supported third-party platforms (currently eBay Australia and Dropshipzone). DSMate does not act as a seller, supplier, or marketplace.
You must be at least 18 years old and have the legal capacity to enter into a binding contract under Australian law to use DSMate. By registering, you represent that you meet these requirements. The Service is intended for use by business operators and is not a consumer product.
You are responsible for maintaining the security of your DSMate account credentials. You must notify us immediately if you suspect unauthorised access to your account. We are not liable for any loss resulting from unauthorised access caused by your failure to keep your credentials secure.
You may not share your account or allow third parties to access the Service using your credentials.
To use certain features, you must provide credentials for third-party accounts (e.g. your Dropshipzone reseller login). By providing these credentials, you authorise DSMate to use them solely to deliver the Service on your behalf. We encrypt credentials at rest and in transit. You remain solely responsible for the accuracy and validity of credentials you provide, and for ensuring your use of DSMate complies with the terms of service of any third-party platform.
You agree to use DSMate only for lawful purposes and in accordance with these Terms. You must not:

DSMate offers a free plan and paid subscription plans billed monthly in Australian dollars (AUD). All prices are inclusive of GST where applicable. Paid plans are billed in advance at the start of each billing cycle.
You may cancel your subscription at any time through your account settings or by emailing us. Cancellation takes effect at the end of your current billing period — you will not be charged again, and no refund is issued for the remainder of the current period. On cancellation, your account reverts to the free plan (if applicable) and you retain access to your data for 30 days.
We reserve the right to change plan pricing with at least 30 days' prior notice to your registered email address.
The auto-sync feature runs on a scheduled basis (typically nightly) and updates your eBay listings based on data from connected suppliers. While we take care to ensure accuracy, we do not guarantee that all updates will be applied without delay or error. You remain responsible for reviewing your listings and the accuracy of prices, stock levels, and product information on your eBay store. DSMate is a tool to assist you — it does not replace your responsibility as the seller.
Any profit, margin, or fee estimates provided by DSMate are calculated based on data available at the time and are provided for informational purposes only. eBay fees, supplier costs, and shipping rates may change. DSMate does not guarantee the accuracy of these estimates and they do not constitute financial advice. Always verify figures independently before making business decisions.
All software, design, trademarks, and content comprising the DSMate platform are owned by or licensed to DSMate and protected under Australian and international law. You may not reproduce, copy, or distribute any part of the Service without our prior written consent.
You retain ownership of any data you input into the Service (e.g. your listing information). By using the Service, you grant us a limited licence to process that data solely to provide the Service to you.
To the maximum extent permitted by Australian law, the Service is provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
To the maximum extent permitted by law, DSMate's total liability to you for any claim arising from or related to the Service is limited to the total amount you paid us in the 3 months preceding the event giving rise to the claim, or AUD $100, whichever is greater.
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such damages.
Nothing in these Terms limits our liability for fraud, death or personal injury caused by our negligence, or any liability that cannot be excluded under the Australian Consumer Law.
If you are a consumer under the Australian Consumer Law (ACL), you may have rights that cannot be excluded by these Terms. Nothing in these Terms is intended to exclude, restrict, or modify any rights you have under the ACL. Where the ACL applies, our liability is limited (to the extent permitted) to re-supplying the relevant service.
You agree to indemnify, defend, and hold harmless DSMate and its directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any third party's rights.
We may modify, suspend, or discontinue any aspect of the Service at any time. We may also update these Terms from time to time. When we make material changes, we will notify you by email or via an in-app notice. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
We may suspend or terminate your access to the Service at our discretion if you breach these Terms. You may terminate your account at any time. Upon termination, your right to use the Service ceases immediately. Clauses that by their nature should survive termination (including intellectual property, disclaimer, limitation of liability, and governing law) will do so.
These Terms are governed by the laws of Victoria, Australia. Any dispute arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts of Victoria. We encourage you to contact us first to resolve any issues informally before initiating formal proceedings.
